How we usually work, in plain words. Much of it depends on what we agree with you, so read this as the shape of the deal rather than the deal itself. Your own signed agreement is the one that governs.

What this page is
A summary of how we usually work, written so you can read it before you talk to us. It is not the contract and it is not an offer: nothing here binds either of us until we have both signed something.
Most of what follows depends on the arrangement we agree with you. Where this page says “usually” or “typically”, take it as a starting point rather than a term. Your own signed agreement is the one that governs, and where the two differ, that one wins.

Who you are dealing with
Panlytics is operated by a registered company. Its full legal name, company number and registered address are set out in the agreement you sign, and we will send them to you before you commit to anything. Just ask.
In these terms “we”, “us” and “our” mean that company, and “you” means the company that signs an agreement with us.

What you get
Access to Panlytics for an unlimited number of your people, unless we both agree a limit. Email support on working days. Live calls whenever you want one: ask and we will do our best to arrange it, as often as suits you, at no extra cost. Neither of us is required to hold or attend a call.

Onboarding, then a term
First comes onboarding: the integrations, API connections and any other setup we agree with you. That work is free and does not count against your term.
The start date is usually the day onboarding is done and you tell us you are happy. The length of the term, and what happens at the end of it, depend on what we agree. Twelve months is the usual shape, not a rule.

How you get out
You can end this at any time, for any reason, by emailing us. It usually ends at the end of the month you have already paid for.
Renewal, notice and whether anything is refunded all depend on your agreement. We are not trying to trap anyone into a year they do not want.

Price and payment
Your price is the one set out in your own agreement. It depends on the size of your business, and it is worked out with you rather than picked off a list.
How you pay depends on what suits both of us. That covers when the first month falls due, the invoicing period and the payment window. Onboarding is free either way, so the clock does not start before you are live.
If a price ever changes at renewal we will tell you well before it takes effect. Bank charges on a payment are usually yours.

Updates are free
Every fix, improvement and new feature is included. If you ask for something and we build it into Panlytics for everyone, it costs you nothing, however much work it took.

Custom work is the only thing you would ever pay extra for
Custom work means something built only for you that we are not adding to the product for everyone. What it costs depends entirely on the scope and the difficulty, and there is no standing rate on this page for that reason.
What does not depend on anything: we will never start until we have sent you the scope, an estimate, the rate and a delivery date, and you have said yes in writing. No surprise invoice, ever.

How fast we work
We come back to you within a couple of working days to say whether something is a general fix or custom work.
After that it depends on what it is. Small fixes are usually done the same week; anything larger gets a date from us before we start, and we hold to the date we gave you. Any clock pauses while we are waiting on you.

Your data, and what we do with it
Your data is yours. We may use it internally to run the service and to test and improve Panlytics and our algorithms. In exchange:
- (a)we will never sell, rent, licence or publish your data;
- (b)we will never give it to anyone outside our own team, except the providers named in our privacy policy, which hold it on our instructions and may not use it for anything of their own;
- (c)we will not use it to produce anything for another customer that identifies you;
- (d)only our own people who need access will have it, and everyone is bound to keep it confidential; and
- (e)we keep it encrypted in transit and at rest, with your sales data and your account on servers inside the EU, and we will not move those elsewhere without telling you first and putting proper protections in place.

Usage analytics
Separately from your sales data, we measure how the product is used, meaning page views, sign-ins, errors and page speeds, so we can see what works and what confuses people. Our analytics provider processes that inside the EU. We do not record your screen.
It is off until it is accepted, and a person can decline it. What is collected, how long it is kept and how to refuse it are set out in full in our privacy policy.

Your data after this ends
When the agreement ends we keep your data and may carry on using it as described above. Whenever you want it gone, email us and say so.
We will then stop using it straight away, delete it from our systems within 30 days, tell our hosting provider to do the same, and confirm when it is done. We may keep anonymous combined statistics, which cannot identify you or any person, and anything the law requires. Every two years we review what we hold and delete what we no longer need.

Confidentiality and account use
Neither of us passes on the other's confidential information, including the terms of the agreement, for a period we agree, typically several years after it ends.
Your account is for your company only: keep your login details within your own people, do not share access outside your company, and do not use Panlytics to run, analyse or provide services for another business.

Telling people you work with us
We may say publicly that you are a customer and use your company name and logo as an example of a business that has bought and trusted Panlytics, on our website and in our marketing. We will not reveal the terms of your agreement or anything about your data.
If you would rather we did not, tell us in writing and we will stop and remove you from anything we control within 30 days.

Decisions are yours, and what we are responsible for
Panlytics gives you information, analysis and suggestions. Every decision about what to order, how much and when is yours, and you give the final approval on all inventory ordering.
We are not liable for any loss following from a decision you make, including lost sales, overstock, understock, obsolete stock or any other trading loss, even if you relied on something Panlytics showed you.
Either of us can end the agreement if the other seriously breaches it and does not put it right after being told. If we are the ones in breach, we refund anything you have paid for time you did not get. Neither of us is liable for lost profits or other indirect losses, and each of us carries a liability cap, set in the agreement and usually tied to what you have paid us. Nothing anywhere limits liability for fraud or for anything the law says cannot be limited.

Law
The governing law and the courts are named in the agreement you sign. Whatever they are, we will always try a conversation first. Neither of us wants to be anywhere near a court.

Notices
Email is fine for everything, including cancelling: aayan@panlytics.net or ari@panlytics.net. Anything we change, we put in writing and both sign.
